1. Introduction and Acceptance of Terms
Welcome to spurgeonenglish.com (the "Website"), operated by Spurgeon English Consulting, LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Website and all services offered through it, including but not limited to online English language instruction, tutoring, conversation practice, accent coaching, business English training, writing workshops, and related consulting services (collectively, the "Services").
By accessing or using the Website or purchasing any Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (below). If you do not agree to these Terms, you must not use the Website or purchase any Services. We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Website, and your continued use constitutes acceptance of the modified Terms. We will make reasonable efforts to notify registered users of material changes via the email address associated with their account.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services independently. Individuals under 18 may use the Services only with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on the minor's behalf. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate and complete.

We provide online English language consulting services, which may include one-on-one tutoring sessions, group instruction, written feedback on documents, curriculum design, pronunciation and accent coaching, and business or academic English preparation. Sessions are conducted via video conferencing platforms (such as Zoom, Google Meet, or Microsoft Teams) or other communication tools as agreed upon between the parties. The specific scope, format, frequency, and duration of Services will be outlined in a service agreement, booking confirmation, or other written communication at the time of engagement.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.
4. User Accounts and Registration
Certain features of the Website or Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@spurgeonenglish.com if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.
5. Fees, Payment, and Service Packages
5.1 Pricing. All fees for Services are listed on the Website or communicated in writing prior to purchase. Prices are quoted in U.S. Dollars unless otherwise stated. We reserve the right to change pricing at any time; however, price changes will not affect Services already purchased or active service packages.
5.2 Payment. Payment is due at the time of booking unless otherwise agreed in writing. We accept payment via the methods listed on the Website (e.g., credit card, PayPal, bank transfer). All payments are processed through third-party payment processors, and your use of those services is subject to their respective terms and privacy policies.
5.3 Packages and Subscriptions. If you purchase a multi-session package or subscription, you agree to the specific terms associated with that package, including any expiration dates. Unused sessions in a package expire 180 days from the date of purchase unless otherwise specified in writing. Package sessions are non-transferable to other individuals unless we agree in writing.
5.4 Taxes. You are responsible for all applicable taxes associated with your purchase of Services, except for taxes based on our net income.
5.5 Late Payments. Invoiced amounts not paid within 15 days of the due date may incur a late fee of 1.5% per month (or the maximum allowed by law, whichever is less) on the outstanding balance.
6. Cancellation, Rescheduling, and Refund Policy
6.1 Cancellation by Client. You may cancel or reschedule a scheduled session with at least 24 hours' notice prior to the session start time at no charge. Cancellations made with less than 24 hours' notice will be charged in full, and the session will be considered used. No-shows (failure to attend without notice) will be charged in full.
6.2 Cancellation by Consultant. We reserve the right to cancel or reschedule sessions due to illness, emergency, or other unavoidable circumstances. In such cases, we will provide as much advance notice as possible and offer a rescheduled session or full credit at no additional cost.
6.3 Refunds. Refund requests for individual sessions must be submitted in writing to info@spurgeonenglish.com within 7 days of the session date. Refunds for unused sessions within a package may be issued on a prorated basis at our sole discretion, minus a 10% administrative fee. No refunds will be issued for sessions that have already been delivered. Refunds are processed within 14 business days to the original method of payment.
6.4 Termination of Ongoing Engagement. Either party may terminate an ongoing service engagement with 14 days' written notice. Upon termination, you are responsible for payment of all Services rendered up to the effective date of termination.
7. Intellectual Property Rights
7.1 Our Content. All content on the Website and in the Services, including but not limited to text, graphics, logos, images, audio, video, lesson plans, worksheets, curricula, assessments, and software (collectively, "Our Content"), is the property of Spurgeon English Consulting, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
7.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Our Content solely for your personal, non-commercial educational purposes in connection with the Services. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of Our Content without our prior written consent.
7.3 Client Materials. You retain ownership of any materials you submit to us for feedback, editing, or instruction ("Client Materials"). By submitting Client Materials, you grant us a limited, non-exclusive license to use, reproduce, and modify such materials solely for the purpose of providing the Services. We will not share Client Materials with third parties without your consent, except as required by law.
7.4 Feedback and Testimonials. Any feedback, suggestions, or testimonials you provide may be used by us for marketing and promotional purposes without additional compensation, unless you request otherwise in writing. We will not attribute testimonials to you by full name without your prior consent.
8. Confidentiality
Both parties agree to treat as confidential any proprietary or sensitive information disclosed during the course of the Services, including but not limited to business strategies, personal information, unpublished documents, and session content. This obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the confidential information; or (d) is required to be disclosed by law or legal process.
9. Right to Refuse and Content Restrictions
Spurgeon English Consulting, LLC reserves the right to decline, discontinue, or cancel any project or engagement at any time and for any reason, at its sole discretion. In particular, we will not accept or continue work involving erotica, horror, gratuitous violence, or depictions of verbal, sexual, or physical abuse or assault. If we decline or discontinue a project, any payment for services not yet rendered will be refunded in full.
English, as with all languages, is dynamic and consists of endless variants and dialects. While we provide professional English support and editing services with care and expertise, specific outcomes cannot be guaranteed. It is not possible to anticipate all requirements, contexts, and situations in which edited or revised materials may be used. Clients are responsible for final review and approval of all deliverables.
10. Code of Conduct
You agree to conduct yourself in a professional and respectful manner during all interactions related to the Services. You shall not engage in any behavior that is abusive, harassing, discriminatory, threatening, or otherwise inappropriate. We reserve the right to immediately suspend or terminate Services to any client who violates this Code of Conduct, without refund.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee any specific educational outcomes, test score improvements, language proficiency levels, career advancement, or other results from use of the Services. Your results depend on numerous factors, including your effort, consistency, prior knowledge, and individual learning capacity. We are not responsible for the reliability, availability, or performance of third-party platforms (such as Zoom, Google Meet, or payment processors) used in connection with the Services.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPURGEON ENGLISH CONSULTING, LLC, ITS OWNER, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR SERVICES DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Spurgeon English Consulting, LLC, its owner, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content or materials you submit through the Services.
14. Session Recording and Materials
Sessions may be recorded for quality assurance and educational purposes only with the mutual consent of both parties. Neither party may record a session without informing the other party in advance. Any recordings or session materials created during the Services are for the personal use of the client only and may not be reproduced, distributed, or published without our written consent.
15. Third-Party Links and Tools
The Website and Services may contain links to third-party websites, tools, or resources. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party sites. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
16. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, civil unrest, power outages, internet service disruptions, or failures of third-party platforms. The affected party will provide prompt notice and make reasonable efforts to mitigate the impact and resume performance as soon as practicable.
17. Dispute Resolution
17.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, the parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through good-faith negotiation. The aggrieved party shall send written notice of the dispute to the other party, and the parties shall have 30 days from receipt of such notice to attempt to resolve the matter informally.
17.2 Mediation. If the dispute cannot be resolved through informal negotiation within 30 days, the parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Colorado. The costs of mediation shall be shared equally.
17.3 Governing Law and Jurisdiction. These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy below and any service agreements or booking confirmations, constitute the entire agreement between you and Spurgeon English Consulting, LLC regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
20. Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party to be effective.
21. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
